ARTICLE 1


NAME

  1. The name of this Federation shall be: GLOBALPRINT (called "the Federation" hereafter). Members are national associations in Europe, Asia, Latin America and the United States of America.

  2. The founding Members of the Federation are:

ARTICLE 2


PURPOSES

The Federation exists to deal with all questions furthering the common interests and mutual

understanding amongst manufacturers of printing, paper-making and converting machinery

and equipment and consumables in particular, including the timely collection of

relevant statistical and market data.

 

ARTICLE 3


MEMBERSHIP

  1. For each country, only one national association representing the manufacturing industry shall be admitted to membership.

  2. Requests for admission must be submitted in writing to the Secretary General for the attention of the Federation. After charter members are named, a two-thirds (2/3) majority decision by the total membership of the Federation shall be necessary for the election of a new member. In the event of refusal, the Federation is not required to state reasons.
    Applicants for membership must agree that they will submit accurate and timely marketing data (statistics) published by their association to the Secretary General for preparation of a composite report to be published twice a year.

ARTICLE 4


RESIGNATIONS AND EXCLUSIONS

  1. Membership is terminated by withdrawal or exclusion or by abandoning the manufacture of printing, paper-making and converting machinery and equipment and consumables.

  2. Membership can also be terminated by not attending two (2) consecutive meetings or failing to submit statistical data when required. For the termination of a member a two-thirds (2/3) majority of all members is required.

  3. Withdrawal can take place at any time. It does not relieve the withdrawing member from any possible financial obligations owed the federation contracted before the declaration of withdrawal.

 

ARTICLE 5


QUORUM

A quorum of half the membership, plus one, is necessary to conduct a meeting.

 

ARTICLE 6


VOTING

All decisions require two-thirds (2/3) majority approval of all member associations, except as provided in Article 8, paragraph 5. Membership applications may be conducted by mail or electronic ballot.

 

ARTICLE 7


MEETINGS

  1. There should be a member assembly, presidents meeting and a secretary general meeting at least once a year.

  2. The Federation assembles upon the invitation of the President, and if the President is prevented for any reason from doing so, upon the invitation of the Vice President, or upon request of at least three member associations.

  3. Member associations must be notified eight (8) weeks prior to a meeting being called. Member associations may submit items for inclusion in the agenda not less than six (6) weeks prior to the meeting date. The agenda must be circulated not less than four (4) weeks prior to the meeting date.

 

ARTICLE 8


OFFICERS

  1. The Federation shall elect as officers a President and one or two Vice Presidents from the delegates of the member associations to hold office for a period of two years. The Officers of the Federation must be from different national delegations at any one time. The President must be a chief executive officer or a company board member of a machinery/equipment or consumables manufacturer (member company of the respective national association).

  2. The President is not eligible on the expiration of his term of office for re-election

  3. The President elected on each occasion must be a member of a different national delegation from that of the outgoing President.

  4. The Vice Presidents are eligible for re-election.

  5. In the event that more than one eligible delegate is proposed as President, or more than two delegates are proposed as Vice President, the vote shall take the form of a secret ballot and the nominee or nominees obtaining the most votes shall then be considered elected.

 

ARTICLE 9


WORKING GROUPS

  1. Working groups can be created for specific tasks. They will report to the Federation assembled in plenary meeting.

 

ARTICLE 10


SECRETARY GENERAL

  1. The implementation of the decisions of the President is entrusted to the Secretary General of the Federation, who will be responsible for the day-to-day management of its affairs.

  2. The Secretary General of the Federation will call for the meeting of the Secretary Generals of member associations whenever necessary.

  3. The Secretary General shall keep contact with all international bodies interested in the activity of the Federation.

  4. The Secretary General of the Federation will be from the same national association as the President and hold office for a period of two years.

 

ARTICLE 11


FINANCING

  1. The member association secretariat in office will bear general expenses of secretariat.

  2. For financing special actions and projects, the Federation may require the collection of reasonable contributions to be determined by the membership from each member association.
